TERMS OF SUBMISSION

Introduction
These Terms of Submission (“Terms”) govern the submitter’s (“Licensor”) irrevocable grant to 15891451 Canada Inc. (“Act4Love”), its successors, affiliates, licensees, and assigns (collectively, “Act4Love”) of the licensed rights (defined below) with respect to all or any part of audiovisual works, images, or other materials submitted by Licensor to Act4Love (the “Images”).
By electronically submitting any Images, you acknowledge and agree to be legally bound by these Terms.
Licensed Rights
Licensor grants Act4Love the perpetual, royalty-free, exclusive, worldwide, and unlimited right to use, modify, edit, adapt, add to, subtract from, rearrange, distribute, broadcast, reproduce, license others to reproduce and distribute, advertise, promote, publish, and otherwise exploit the Images by any means, in any media, now known or hereafter developed, for any purpose, including marketing, advertising, and promotion.
Licensor irrevocably appoints Act4Love as its attorney-in-fact to take actions necessary to effect, transfer, or assign the rights granted herein, including copyright-related actions, and assigns to Act4Love the right to prosecute claims arising from unauthorized use of the Images.
Licensor further grants Act4Love the exclusive right to use Licensor’s name, likeness, voice, biographical data, performance, and other materials provided in connection with the Images (collectively, the “Materials”) in any and all markets and media, in perpetuity, without limitation. Act4Love may license, sell, or assign these rights to third parties at its sole discretion without additional consideration or notice to Licensor.
Consideration
In consideration for the rights granted, Act4Love shall expend time and resources reviewing, considering, and potentially using or distributing the Images. Licensor acknowledges and accepts that no monetary compensation is guaranteed.
Licensor Representations and Warranties
Ownership of Rights: Licensor affirms that they are the sole owner of all rights to the Images and Materials, with full authority to grant these rights to Act4Love. Licensor has not authorized any other party to exercise rights that conflict with this grant.
Rights Are Clear: Licensor has obtained all necessary permissions, clearances, and payments to allow Act4Love to exercise the granted rights. No additional payments, residuals, or clearances are required. All individuals depicted in the Images have consented to their use.
No Infringement: The Images and Materials do not infringe upon any copyright, trademark, contract, privacy, publicity, or other legal rights of any person or entity. No claims or litigation exist or are anticipated that would impair the licensed rights.
Age Verification and Parental Consent: If Licensor is under 18 years old or below the age of majority in their jurisdiction, they represent that they have obtained consent from a parent or legal guardian to submit the Images and agree to these Terms on the Licensor’s behalf.
Termination
Licensor may request to terminate these Terms; however, termination is only effective with Act4Love’s written consent. Termination does not affect prior licenses granted to Act4Love, which remain in full effect.
Release and Indemnity
Licensor agrees to indemnify and hold harmless Act4Love, its affiliates, licensees, successors, officers, and employees from any claims, damages, or expenses arising from (i) any breach of these Terms by Licensor, or (ii) any claims related to defamation, privacy, publicity, copyright, trademark, or other rights in connection with Act4Love’s use of the Images.
Licensor acknowledges that breach of these Terms could cause irreparable harm to Act4Love and agrees that Act4Love may seek injunctive or equitable relief in addition to other remedies.
Publicity and Confidentiality
Licensor shall not release or disclose any information regarding the Images, Act4Love, or these Terms without Act4Love’s prior written consent, except as required by legal obligations or to Licensor’s attorneys or accountants. Licensor agrees to treat these Terms as confidential.
Miscellaneous
These Terms constitute the entire agreement between the parties and supersede any prior agreements. They may only be modified in writing signed by both parties. If any provision is found unenforceable, the remaining provisions remain effective. Licensor may not assign rights under these Terms; Act4Love may assign freely.
Choice of Law and Dispute Resolution
These Terms are governed by the laws of Canada. The parties submit to the personal jurisdiction of courts in Montreal, Quebec, Canada. Except for equitable remedies granted to Act4Love, all disputes shall be resolved by binding arbitration in Montreal, Canada under the rules of the Canadian Arbitration Association, and only for actual monetary damages. Licensor waives all claims to injunctive or equitable relief except as expressly provided herein.
Time Limitation on Claims
Any claims arising out of or related to Act4Love’s services or Licensor’s submissions must be filed within one year; otherwise, they are permanently barred.
Additional Terms
Licensor may be required to agree to additional terms posted on Act4Love’s websites, which are incorporated herein by reference. Continued use after revisions constitutes acceptance of the updated terms.
